Terms of Service
These Terms govern access to and use of CEAIH websites, applications, AI tools, communications, educational services, subscriptions, and organization features.
1. Agreement to these Terms
By accessing or using CEAIH, you agree to these Terms and the policies incorporated by reference. If you use CEAIH for an organization, you represent that you have authority to bind that organization.
Separate order forms, school agreements, government contracts, data-processing agreements, marketplace terms, or subscription terms may apply. If a signed agreement conflicts with these Terms, the signed agreement controls for that conflict.
2. Eligibility and accounts
- Provide accurate information and keep it current.
- Protect passwords, access codes, and connected-provider credentials.
- Use only accounts and roles you are authorized to access.
- Notify CEAIH promptly of suspected compromise or unauthorized use.
- Do not transfer, sell, or share an account except through authorized organization workflows.
Children and students may use CEAIH only through an authorized school, parent, guardian, teacher, or other legally permitted arrangement.
3. Platform roles and organization responsibility
CEAIH supports different roles and organization levels. Administrators are responsible for assigning permissions appropriately, obtaining required approvals, managing connected services, and ensuring that users act within organizational policy and law.
Organizations are responsible for the legality and accuracy of the data they upload, the instructions they give CEAIH, and the communications they send through connected providers.
4. Subscriptions, licenses, and payment
Paid services may be offered through individual subscriptions, organization licenses, government contracts, usage plans, add-ons, or marketplace transactions. Prices, limits, renewal terms, taxes, cancellation rights, and refund rules are shown at purchase or in the applicable agreement.
Unless otherwise stated, subscriptions may renew automatically until canceled. Failure to pay may result in restricted access, suspension, downgrade, or termination, subject to applicable law and contract terms.
5. Acceptable use
You must follow the CEAIH Acceptable Use Policy. You may not misuse the platform, interfere with security, impersonate others, violate privacy, distribute harmful content, circumvent usage limits, or use CEAIH for unlawful discrimination, exploitation, harassment, or academic dishonesty.
6. Artificial intelligence
AI features may produce inaccurate, incomplete, biased, or inappropriate output. Users must review AI output before relying on it. CEAIH does not guarantee that generated content is correct, unique, non-infringing, or appropriate for every learner or purpose.
AI must not be the sole basis for consequential educational, disciplinary, employment, legal, medical, safety, or financial decisions. Authorized human review is required.
7. User content and educational data
You retain ownership of content you submit to CEAIH, subject to any rights held by a school, employer, publisher, student, parent, or other party. You grant CEAIH a limited license to host, process, reproduce, transform, transmit, display, and back up content as necessary to provide, secure, and improve the contracted services.
You represent that you have the rights and permissions needed to submit content and direct its processing.
8. CEAIH intellectual property
CEAIH software, branding, designs, workflows, documentation, platform content, and other proprietary materials are owned by CEAIH or its licensors. These Terms provide a limited, revocable, non-exclusive right to use the services; they do not transfer ownership.
9. Marketplace and third-party content
Marketplace resources may be created by third parties. Creators are responsible for rights, accuracy, quality, and compliance. CEAIH may review, remove, suspend, or restrict content but does not guarantee every resource.
10. Connected and third-party services
CEAIH may integrate with external providers. Their terms, availability, pricing, permissions, and privacy practices apply independently. CEAIH is not responsible for third-party outages, account restrictions, or changes outside CEAIH’s control.
11. Service changes and availability
CEAIH may update, add, suspend, or discontinue features to improve safety, performance, compliance, or product direction. Scheduled maintenance, emergencies, provider failures, and events beyond reasonable control may affect availability.
12. Suspension and termination
CEAIH may suspend or terminate access for nonpayment, security risk, legal requirement, material breach, abuse, or conduct that threatens users or the platform. Where appropriate, CEAIH may provide notice and an opportunity to cure.
Upon termination, access may end and data may be deleted according to the Privacy Policy, retention schedule, and applicable agreement.
13. Disclaimers
To the maximum extent permitted by law, services are provided on an “as available” basis. CEAIH does not promise uninterrupted operation or that every feature, provider, AI output, resource, or result will meet every user’s needs.
14. Limitation of liability
To the maximum extent permitted by law, CEAIH will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of data, or loss of opportunity arising from use of the services.
Any aggregate liability cap will be governed by the applicable order form or signed agreement and mandatory law.
15. Indemnification
Organizations and adult users agree, to the extent permitted by law, to defend and indemnify CEAIH from claims arising from their unlawful content, misuse, breach of these Terms, violation of third-party rights, or unauthorized instructions.
16. Governing law and disputes
Unless a signed agreement or mandatory law states otherwise, these Terms are governed by the laws of Florida, United States, without regard to conflict-of-law rules. Venue and dispute procedures should be finalized in CEAIH’s counsel-approved commercial terms.
17. Changes
CEAIH may update these Terms. Material changes will be communicated through reasonable notice. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
